Terms of service

In the context of this policy, C&F Enterprises refers to all brands under the C&F Enterprises umbrella to include C&F Home, Gallerie II, carol & frank, ELISABETH YORK, Gallerie II, Rightside Design, and Beachcombers Coastal Life. 

Registration Terms

Thank you for your interest in C&F Home and carol & frank. We are a wholesale brand who sells to the trade, and as such require a valid tax identification number as proof of retailer status as part of our registration process. Registration is open to new and existing customers. Existing customers can use the express registration option. Please allow 2 business days for your application to be processed. 

Approval Process:

Any retailer wishing to sell or to continue selling C&F Enterprises product on the internet must have written approval for each site by C&F. This required approval includes all C&F Enterprises products, logos, photography, brands, product names, and trademarks (collectively referred to as Web Materials). Approved Retailers agree to present all Web Materials in accordance with the appropriate Brand Standards for that brand. All Web Materials remain the property of C&F Enterprises. C&F may grant permission by item or by collection and such approvals will be reviewed regularly.

To request approval please submit URL links to sales@cnfei.com for all applicable websites that use C&F Enterprises product, images, logos, etc. 

Pricing:

All retailers selling C&F Enterprises product on the internet must adhere to our internet pricing policy to remain an authorized dealer.  This policy states that all dealers and sellers:

                - Must offer current, non-closeout C&F Home and Gallerie II items at Manufacturers Suggested Retail Price (MSRP) which is defined as 2.2x regular wholesale cost.

                 - Items may occasionally be promoted at a discounted price but that price cannot drop below the Minimum Advertised Price (MAP) which is defined as 2.0x regular wholesale cost, less no more than .01 (one cent). C&F may choose to designate promotion time periods.

                 Coupons - Neither coupons nor discounts can bring the price below the minimum pricing standard.  Free product promotions bringing the price total below the retail pricing guidelines are not allowed. If “bundling” groups of product, MSRP and MAP are calculated using the total wholesale cost of the bundled items. Shipping charges remain at the discretion of each retail site.

Price Updates

If C&F Enterprises announces a price change on product(s), internet prices should be changed in a timely manner to reflect the changes. Retailers are required to submit lists of all product/photos offered on the internet for regular approval and review. Lists should be in Excel format by C&F item number and/or UPC.

Discontinued items moved to 900 to 999 or A811 Status (designated to be discontinued when stock is depleted) are exempt from MAP.  Discounted items still in the Quilt Catalog (A911/A920 Status) are subject to MSRP and MAP based on the new lower price.  

Use of language that implies that the retailer is an “exclusive” or “sole” online distributor for C&F Enterprises products is prohibited.

Use of misleading language such as “largest selection” or language which implies that you are a storefront for C&F Enterprises is prohibited.

For online advertising, retailers are permitted to use branded terms with no modifiers in targeted keywords or ad copy. However, bidding for the #1 ad position on branded terms is prohibited.

Failure to comply with these terms may result in suspension or permanent cancellation. Terms subject to change.  Any notification of changes will be sent to all active accounts via email.

C&F Enterprises thanks you for your business and for your support. We are looking for strong internet partners that will work with us to grow the brand. Our goal is to work more closely with retailers that support these policies which we believe with benefit us all.

Policies:

By placing an order with C&F Enterprises, you agree:

Late charges of 1.5% per month apply after invoice due date; returned checks incur a $25 fee; you are responsible for any collection/suit expenses incurred because of delinquent accounts

You are authorized to bind your organization to these terms, and authorize [company] to verify your organization’s credit history, trade references and credit reports in order to consider granting credit privileges to your account.  You are either a principal of the credit applicant or a sole proprietorship of the credit applicant and, recognizing that your individual credit history may be a factor in the evaluation of the credit history of the applicant, hereby consent to [Company’s] use of your personal consumer credit reports

Additional charges (which may be billed separately) may apply for extra services required and/or requested.  All prices are subject to change; orders may be subject to additional fees and surcharges.  Customers will be informed in writing of any such changes prior to fulfillment and may cancel the order up to two weeks prior to shipment of the goods.

If you do not agree to these terms you may cancel your order without penalty.

A 20% Restock fee applies for unauthorized returns.

Notwithstanding anything herein to the contrary, no changes or cancellations are allowed within 2 weeks of the ship date.

 

 

Note:  ELISABETH YORK and carol & frank Brand products fall under a separate MAP policy.

 

carol & frank Sales Terms

At carol & frank, we believe that our customers should not only enjoy quality merchandise, but also a quality shopping experience. We value the key role of online retailers in increasing brand exposure, and feel that upholding the high standards of the carol & frank brand is of foremost importance. Therefore, the online sale of our products is limited to approved vendors. All retailers approved to sell carol & frank product on the Internet must adhere to the carol & frank Internet pricing policy to remain an authorized carol & frank dealer.  Retailers requesting to sell carol & frank online are evaluated based on the criteria listed below.  

Criteria:

  • Brand enhancing exposure on the site for the carol & frank brand
  • Existing brands currently offered on the website
  • Style and user experience of the website
  • MAP history
  • Retailer type

Terms of Sale:

  • Approved online retailer application. Approval to sell at your brick and mortar location does not guarantee your approval as an online retailer.
  • All web materials and sites must be approved and will be reviewed regularly.
  • Wherever a carol & frank product is shown, the brand or logo must be shown for that item.
  • Retailer should offer current, non-closeout items at the Manufacturers Suggested Retail Price (MSRP) which is defined as 2.2x regular wholesale cost.
  • Items may occasionally be promoted at a discounted price but that price cannot drop below the Minimum Advertised Price (MAP) whichis defined as 2.0x regular wholesale cost less no more than .01 (one cent). carol & frank may choose to designate promotion time periods.
  • Sale through third party retailers (eBay, Amazon, Walmart.com, etc.) without specific approval, and/or any site not listed in and approved on your agreement are strictly prohibited.
  • If carol & frank announces a price change on product(s), Internet prices should be changed immediately upon notification to reflect the changes.  Retailers will be asked to submit lists (in Excel format, by carol & frank item number or UPC) of all product/photos offered on the internet for approval and for regular review.
  • Discounted items (M911 Status) are subject to MAP based on the new lower price.   Discounted items (900-999 Status) are not subject to MAP.
  • Neither coupons nor discounts can bring the price below the minimum advertised price.  Free product promotions bringing the price total below the retail pricing guidelines are also not allowed. If “bundling” groups of product, total MAP will be determined by adding the cost for each item then applying the MAP formula. Shipping charges remain at the discretion of each retail site.
  • All print and digital advertising must be approved.
  • Use of language that implies that the retailer is an “exclusive” or “sole” online distributor for carol & frank products is prohibited.
  • Use of misleading language such as “largest selection” or language which implies that you are a storefront for carol & frank is prohibited.
  • Permission must be received to use any carol & frank product, logos, photography, brands, product names, or trademarks.  Permission will be granted by item or collection.

Use of Branded Terms:

  • Use of branded terms with no modifiers in targeted keywords or ad copy is permitted. However, bidding for the #1 position on branded terms is prohibited.
  • Photography Release Guidelines for C & F Enterprises apply to the carol & frank brand. Logos are available upon request through Customer Service.

Terms subject to change.  Any notification of changes will be sent to all active accounts via email supplied at time of application.  If this is not your primary e-mail address, please supply C&F Enterprises with your preferred e-mail address for our records.

All prices are wholesale and are for each. Prices quoted herin are subject to change without notice. Price are quoted in U.S. dollars. While we make every effort to provide you the most accurate, up-to-date information, occasionally, one or more items on our website may be mis-priced. We reserve the right to refuse to honor any incorrect prices.
